Job Responsibilities
Legal 80% Compliance 20% - Review, draft, and negotiate key agreements including construction contracts, JV agreements, and subcontractor agreements before project award. - Identify legal risks in contract terms and provide practical legal advice to sales and project teams. - Conduct legal checks during internal approval processes (e.g., contract approval workflows). - Establish a preventive legal framework by engaging from the contract drafting stage onward. - Legal support and advice on contract amendments and preparation of memorandums for variations, extensions, or scope changes during execution. - Provide legal control and the regarded documentation (e.g., letters, notices) in relation to issues such as consequential losses, liquidated damages, payments (for both receiving/forwarding), responsibilities, property rights and other various claims. - Assist in client and subcontractor negotiations on legal matters. - Guide internal stakeholders on when and what to review from a legal perspective during each stage of project execution. - Identify embedded legal risks across various business functions including sales, design, procurement, execution, payment, and handover. - Visualize weak points and unclear responsibilities within workflows, and lead revisions to prevent issues proactively. - Propose and lead cross-functional process improvements to ensure effective legal review checkpoints. - Collaborate with senior management to revise and reinforce internal rules, procedures, and approval processes. - Lead initial response and internal alignment when disputes arise with clients, subcontractors, or authorities. - Manage external counsel and oversee litigation, arbitration, or mediation processes. - Analyze dispute cases and implement lessons learned and preventive measures across the company. - Monitor legal and regulatory developments in Thailand (e.g., construction law, labor law, commercial law) and communicate implications internally. - Develop and maintain internal policies, contract templates, and governance frameworks. - Plan and conduct compliance training sessions for employees include the subsidiaries. - Promote legal team knowledge-sharing and capacity building. - Provide legal insights and risk assessments to executive meetings and board discussions. - Support new business initiatives, joint ventures, and M&A activities from a legal standpoint. - Maintain effective communication and reporting structures with the legal department at the Japan headquarters.Job Requirement
Necessary Skill / Experience
- Bachelor's degree in Law. - At least 10+ years of experience in Legal, Legal & Compliance from a Construction company. - At least 7+ years of experience at a Manager Level at the current company. - Strong management experience and Leadership (subordinates). - Ability to identify business issues, develop appropriate solutions, propose and execute them. - Skills in negotiation with internal and external stakeholders. - Business level of English for communicating with the Japanese Report Line, the Japanese President, and clients. - Lawyer license.
Preferable Skill / Experience
- Master's Degree.
